Fifth Meeting of the Second Board of Directors of the Company

On August 6, 2015, the company held the fifth interim meeting of the second board of directors in Yannian Century Hotel. The meeting was presided over by Chairman Gao Hui and all directors attended the meeting.
The meeting discussed the site selection and environmental impact assessment of the new plant, the adjustment of the company structure and the division of responsibilities after adjustment, and formed a resolution:
1. According to the site selection report of the new factory provided by Director Guo Guangfeng, an agreement has been reached and the site of the new factory will be determined before August 21;
2. Passed the application of Chairman Gao Hui to resign as the company's legal representative, and agreed that the company's general manager Wu Wensheng would assume the position of the company's legal representative;
3. Due to the company's operation plan, the management mode of separating the factory from the enterprise will be implemented. Under the auspices of the company's general manager, a middle-level management meeting was held in the company's conference room on August 3, 2015. The heads of each department represented all the personnel of the department and recommend the appropriate head of the factory department in mind. According to management needs, the company's organizational structure has been readjusted. After careful deliberation by the board of directors, the adjusted organizational chart of the company was passed, and the recommend of the company's management was passed, and it was agreed to appoint Comrade Wang Erli as the director of the company's factory department, who was fully responsible for the management of the factory.
